This document constitutes a legally binding agreement between Naitri Innovations Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 160-A, Shyam Nagar Main, Sukhliya, Vijay Nagar, Indore, Madhya Pradesh, 452010, India (“Company”, “we”, “our”, or “us”) and the individual or entity (“User”, “you”, or “your”) accessing, downloading, installing, or using the Company’s mobile application, website, and related services (“App”).
By accessing or using the App, you agree to be bound by these Terms. If you do not agree, you must not use the App. If you are under 18 years of age, your parent or legal guardian must accept these Terms on your behalf and supervise your use of the App.
1. DEFINITIONS
1.1 “Content” means all 3D models, animations, augmented reality (AR) and artificial intelligence (AI) powered interactive materials, quizzes, fun facts, voiceovers, puzzles, and other educational content made available through the App.
1.2 “Services” means the provision of access to the Content, learning tools, rankings, and related features.
1.3 “Subscription” means the paid access plans for the Services, as described in Clause 4.
2. ELIGIBILITY
2.1 The App is designed for students and parents. School-level access may be offered in future on a conditional, non-exclusive basis.
2.2 Users below 18 years must have parental or guardian consent to use the App. Your parent or legal guardian is deemed to have consented to your use of the App and shall be responsible for supervising your access and ensuring compliance with these Terms.
2.3 By registering, you confirm that all information provided is accurate, current, and complete.
3. LICENCE AND INTELLECTUAL PROPERTY
3.1 The Company grants you a limited, non-exclusive, non-transferable, revocable licence to use the App solely for personal, non-commercial educational purposes, subject to these Terms.
3.2 All Content is view-only. You shall not download, reproduce, copy, modify, publish, distribute, transmit, sell, or create derivative works from the Content; remove or obscure any copyright or proprietary notices; or use the Content for any commercial purpose without prior written consent.
3.3 All intellectual property rights in the App and Content are owned exclusively by the Company.
3A. USE OF THE APP
3A.1 You agree to use the App only for lawful, educational purposes in accordance with these Terms.
3A.2 You shall not attempt to reverse-engineer, hack, modify, or interfere with the App’s operation or servers.
3A.3 You shall not upload or transmit any content that is harmful, defamatory, obscene, or infringes third-party rights.
3A.4 The Company reserves the right to monitor App usage to ensure compliance.
4. SUBSCRIPTION AND PAYMENT
4.1 The Company may offer an initial free trial period, the duration of which may vary depending on user category or promotional offers.
4.2 The Company offers paid subscription plans providing access to the App and its Content for a defined period. The duration, pricing, and features of these plans may change from time to time, at the sole discretion of the Company. The most recent and applicable details will always be displayed within the App or on the official website.
4.3 Subscriptions do not auto-renew; users must manually repurchase plans after expiry unless otherwise specified.
4.4 All fees are payable in advance and are non-refundable except as required by law.
4.5 In case of duplicate payments or failed transactions, eligible refunds shall be processed as per Company policy within 7–10 working days.
4.6 The Company reserves the right to revise or discontinue specific pricing models or features with reasonable notice.
5. ACCOUNT USAGE RULES
5.1 Each Subscription permits login on only one device at a time.
5.2 Account and account information sharing is prohibited. To access the App on another device, you must first log out of the App from the current device.
5.3 Any breach of this Clause may lead to suspension or termination of your account without refund.
6. DATA COLLECTION AND PRIVACY
6.1 The Company collects basic personal data such as name, email address, phone number, school name, class, and related details for the purpose of providing and improving Services.
6.2 Cookies and similar technologies may be used for analytics, functionality, and enhancing user experience.
6.3 The Company does not sell personal data to third parties.
6.4 Users may voluntarily share their progress, achievements, and rankings on social media or other platforms.
6.5 Further details on data handling are provided in our Privacy Policy, which forms an integral part of these Terms.
7. GDPR COMPLIANCE
7.1 For Users located in jurisdictions governed by data protection laws such as the GDPR, personal data shall be processed in accordance with applicable regulations.
7.2 Users have the right to access, rectify, erase, restrict processing, port data, and object to processing.

7.4 For Users under 18, parental consent is required for data collection and processing.
8. LEADERBOARDS AND COMPETITIONS
8.1 The App may display rankings among students to encourage healthy competition.
8.2 Rankings will be based on performance in quizzes, activities, and other educational features.
9. CUSTOMER SUPPORT
9.1 Customer support is available through both in-app and external communication channels mentioned within the App and on the official website.
10. TERMINATION
10.1 The Company may suspend or terminate access to the App for any breach or misuse.
10.2 Upon termination, all rights to use the App shall cease immediately, with no refunds except as required by law.
11. DISCLAIMER AND LIMITATION OF LIABILITY
11.1 The App and Content are provided “as is” without warranties of any kind.
11.2 To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or punitive damages, loss of data, or loss of profits, arising from use of the App.
11.3 The Company may suspend Services temporarily for maintenance or upgrades without liability.
11.4 In the event of any ambiguity, inconsistency, or dispute regarding the interpretation of any provision of these Terms, the interpretation determined by Naitri Innovations Private Limited shall be final and binding on all Users. The Company’s decision in such matters shall prevail to the fullest extent permitted by law.
12. AMENDMENTS
12.1 The App may contain links to or integrations with third-party websites, services, or payment gateways.
12.2 The Company is not responsible for the content, privacy practices, or reliability of such third-party services.
12.3 The Company shall not be responsible for technical failures or issues caused by third-party services.
13. GOVERNING LAW AND JURISDICTION
13.1 By registering, you consent to receive service-related notifications, updates, and promotional messages from the Company through SMS, WhatsApp, email, or in-app messages.
13.2 You may opt out of promotional messages at any time by following the unsubscribe instructions provided. Opting out of essential service notifications may impact your access to certain App features.
14. AMENDMENTS
14.1 The Company reserves the right to amend these Terms at any time.
14.2 Updated Terms will be published within the App. Continued use after updates constitutes acceptance of the revised Terms.
15. GOVERNING LAW AND JURISDICTION
15.1 These Terms shall be governed by and construed in accordance with the laws of India.
15.2 All disputes shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh.
